TRANSACTIONAL DUE DILIGENCE

Considering and planning for environmental liability contingencies in foreign acquisitions and divestitures, particularly given the marked increase in retroactive legal responsibility in foreign countries for past contamination, is now standard practice for forward-looking corporations. We have worked in more than 100 countries doing environmental due diligence and are experts in addressing these issues cost-effectively. We have also developed proprietary evaluation approaches and know how to communicate this to corporations whose liabilities may be substantially affected by corporate home-country laws and regulations as much as anything else. We understand U.S. Securities and Exchange Commission laws, disclosure requirements and risk-based corrective action plans in foreign settings.
